- Develop and socialize PPPs for the management of litigations
- Design, update and ensure adherence to a robust litigations strategy
- Maintain proper filing/archiving of litigations files
- Set up, coordinate and evaluate the work of company panel of lawyers
- Manage the distribution of matters to lawyers to avoid conflict of interests and concentration risks
- Supervise internal discovery on all litigations and prelitigation
- Work with external counsels to implement litigation strategy
- Oversee all steps of the litigations proceedings to ensure fair and cost-effective resolution
- Proper provisioning of litigations and disclosure of contingent liabilities
- Manage interactions with Group Legal and Regulatory on Material litigations
- Ensure accurate and timeous reporting on litigations matters to MTN Group Legal and Regulatory, the Board of Directors, and EXCO
- Oversee e-discovery processes, managing the identification, collection, and review of electronic documents
- Conduct privilege reviews to identify and protect sensitive legal information during discovery
- Handle legal stream of company’s projects.
- Conduct due diligence on legal aspects of the projects of the company as assigned
- Ensure the successful and pro-active management of legal aspects of implementation of Group projects at country level with a view that implementation of Project at country level aligns with objectives and broader activities of Project at Group level;
- Ensure compliance with project plans and timelines for deliverables in so far as it is within the legal & function’s control.
- Draft, negotiate and formalize legal aspects of commercial arrangements and agreements with high level of complexity.
- Structure, negotiate, and prepare commercial transactions in order to reduce/eliminate commercial risk to the operations, and ensuring incorporation of inputs from relevant stakeholders.
- Utilize advanced legal databases & research tools to stay informed about changes in laws, regulations, and precedents
- Conduct thorough legal research and analysis, summarizing key findings for use in case preparation
- Raise other divisions and management awareness on potential legal issues
- Identify, develop and roll-out training and awareness sessions relevant to non-legal staff
- Attend to all legal queries in relation to MTN business and contracts as required
- Ensure approved Key Risk Indicators pertaining to Litigations remain within threshold
- Act in a supporting and advisory capacity to Management and employees as necessary,
- Research and provide legal opinions, gathering and evaluating relevant facts, researching applicable laws and provide recommendations on the legal consequences of business initiatives, projects, decisions and highlighting attendant risks.
- Multiply initiatives towards judiciary and administrative authorities to build ethical relationships with the company
- Support efforts towards influencing Governmental Policies affecting the Company’s businesses through active participation to GICAM
- Manage outside counsel and other advisors as may be required.
- Work closely with regulatory affairs teams to monitor & ensure ongoing compliance with laws and regulations
- Prepare and submit contributions for the legal budget
- Ensure robust budget management to stay within/below approved budget
- Ensure adherence to and regular update of all procedures and processes pertaining to litigations management
- Overall
- Contribute to the design of the departmental strategy in alignment with the company’s strategy
- Drive initiatives to build and strengthen the Legal Team
- Prepare key departmental updates, reports and presentations for management review
- Drive Legal Department marketing actions to enhance awareness and collaboration with other departments for a seamless delivery of results
- 4-year Academic Degree with Honours (LLB or equivalent preferred)
- 06 to 08 years legal work experience in commercial legal practice or within the Legal Department of reputable and structured business environment, preferably a multinational corporation or in a commercial legal practice;
- 3 years in managerial position
- Experience advising on, managing and negotiating complex commercial transactions and agreements, including experience drafting and negotiating contracts involving the provision of ICT services and support.
- Experience advising on, managing and negotiating commercial transactions involving multiple jurisdictions (an advantage).
- Experience working with and managing multiple stakeholders
- Experience working in, or advising, entities operating in the telecommunications or finance industry (an advantage)
- In-depth knowledge local laws and regulations
- In depth knowledge of the Cameroonian judiciary system and the functioning of the courts system (Civil & Common Law);
